Business Description and Vision 


  • The Helmet Spa is a product that satisfies a need. As detailed later in the business plan the helmet cleaning business is an untapped market, serviced by some home grown cleaning companies that attempt to use ozone in air to kill bacteria.
  • Our unique system cleans sanitizes and deodorizes almost any protective helmet that has a lining or padding.
  • Unlike the ozone method we inject a liquid cleanser into the helmet via compressed air and a high speed jet.
  • The drying is done by a commercial warm air blower that dries the fabric and all other internal components that have been saturated with cleaning solution, The process is automated and a patented solid state brain box calibrates the wash/dry cycles effortlessly and hand free. No special plumbing is involved in the placement of our Helmet Spa all we need is a regular GFI protected outlet.
  • The cleaning solution is packaged in either 8oz or 16oz aluminum cans with a proprietary attachment method. The liquid is formulated to remove sweat, oils and bacteria from deep within the lining, padding and the shell of the helmets interior.
  • Once the drying cycle begins the liquid cleaning solution evaporates and we are left with a fresh clean helmet, odorless and dry.
  • The business model is straight forward “fill a need” or” build it and they will come” with the added benefit of residual income.
  • The helmet stink and the accompanying scalp itch is well known to all of us that have ever worn protective head gear, extremely important to keep the lining clean and free of the bacteria that creates the stink while soaking back onto our scalp the next time we sweat into the helmet  
  • Entire teams have been sidelined for having some form of MSRA or staph infection this is a problem looking for a solution The Helmet Spa will set the bar for the way all helmets can be cleaned, quickly, economically and without any specialized plumbing or expensive installation.
  • The two helmet version will be placed into sporting goods stores and motorcycle showrooms, where customers can clean their helmets with product purchased at that store.
  •  The mobile commercial, multi helmet units can travel to events and shows cleaning helmets and selling the accompanying helmet related products .
  • The mobile unit will travel to law enforcement depots cleaning riot gear and patrolman’s helmets, fire stations and schools that do not having an onsite machine yet.

Definition of the Market
  

  • The Helmet Spa is targeted towards a huge global market of protective helmet uses. More than 1/2 the States in America have helmet laws for both driver and passenger, competitive motorsport, American football ,hockey ,lacrosse  ,baseball ,law enforcement military and many first responder professionals (fire department) wear helmets. One quick survey in one of the small Pacific Rim counties states that 8 million motor cycles/scooters are registered and they have a helmet law for driver and passenger
  •  Over 8 million helmets are sold annually in the USA this would be a combination of sport and recreational. (This is a conservative estimate)      
  •  A helmet is typically used for 5 years this helmet is relatively expensive and worthwhile maintaining and needs to be kept clean and bacteria free.
  • Schools and colleges need Helmet Spa as sharing protective gear is commonplace due to the high cost of this equipment.
  • Cleaning is being handled at these institutions by means of spray on products which are not doing an effective job of cleaning and the cost is high. Some cleaning is done using ozone producing cleaning cabinets, found to be highly inefficient ,damaging to any rubber (ozone in air attacks rubber)extremely expensive to buy, maintain and install.      
  • No machine in the world can do what the Helmet Spa does for a low initial cost.       
  • The machines will be available in three production models        
  • A one helmet personal, potable        
  • A two helmet, this is the machine to be found in sporting goods stores and motorcycle show rooms/service departments. This will be the bread and butter best seller.        
  • Operated by the customer, placing the 16 oz can in the specific opening. Push one button and walk away for 30 min.         
  • A single cleaning customer has the potential to make the store $30-$40       
  • A multi helmet machine, sold in modules of 4 helmet versions, these units will be custom built according to the location and amount of helmets cleaned per hour.
  • A 4 helmet machine can clean 8 helmets per hour, the more helmets per hour – the more modules .
  • Ozone via liquid will be available as an option of this model.           
  • Most of these will be built into trailers or trucks to be used as mobile cleaning businesses,  a similar machine will be installed in locker rooms at schools, colleges and pro-team locations.
  • Having a mobile trailer unit will be a good way to demonstrate the machines. This mobile unit can be used to clean helmets at shows and bike shops demonstrating the cleaning power of the Helmet Spa and associated helmet restoration products Description of the Products and Services   ·       
  •  We are unique in many ways. The helmet cleaning business is out there waiting
  •  We will be selling the only automatic helmet cleaning machine in the world, spare parts and accessories associated with the Helmet Spa       
  •  WE WILL BE SELLING CONSUMABLE PRODUCT ·       
  • This is what made the printer industry filthy rich, our liquid cleaning solution is sold in 16oz and 8oz aluminum cans with a propitiatory connection collar. This can is a one shot application and cannot be refilled by the user, and no other cleaning solution can be used in the Helmet Spa. ·       
  •  In addition to the cleaning solution, we will package and sell helmet polish, visor scratch remover, leather conditioner, rubber preserver and moisture sacks for helmet storage        
  • Other products can include dew rags (head bands) neck coolers, helmet bags etc ·       
  • No one is specializing in the care and cleaning of helmets, this will change once our system is out in the world and we will have some copy cats but that is not a bad thing, we will be able to be the world leader in this niche   . 
  • As explained previously the design and aesthetics will change in the production The dual glass canisters are being used for testing the flow rate and pressure of the fluid delivery system and will be replaced by the aluminum can in which our cleaning solution is packaged. The mechanical timer has been replace by solid state 

Organization and Managemen

  • The inventor of the Helmet Spa will license and sell exclusive international manufacturing, distribution and development rights to the company that this partnership will form. Once a company is formed and funded, the landscape will look like this ·

  • 1) Motorcycle sport and recreational will be marketed via existing specialized distribution i.e. Parts Unlimited or Tucker Rocky These distribution giants will be happy to carry our line of machines and products when endorsed by our partner a well known  motorcycle icon ·       
  • The motorcycle market is diverse, and we have a marking strategy that will bring our larger commercial unit to race tracks and motorcycle events nationwide. ·        
  • These units will be sold to individuals or bike shops that would like to go and set up as vendors at these events, our products will be sold in conjunction with these mobile unit operators. ·        
  • We would provide training and guidance, but no franchise type arrangement- rather a manufacturer supplier relationship. We will manufacture the mobile units into specialty vending trailers and then sell the turn key business opportunity ·       
  • 2) The Football and Baseball market will be accessed by appointing manufacture reps that have long standing relationships with the school and college sporting authorities.         
  • We have the opportunity to partner with a well established supplier of equipment cleaning products who has heard of Helmet Spa and expressed interest in a marketing partnership/affiliation targeting the institutional market ·        
  • We are attempting to become certified by the ASTM and other sporting equipment authorities ·       
  • 3) Professional Sports will be handled in much the same way as the school and collage markets, when a sporting legend joins our company the doors will be easier to open. Until the sporting world knows about the Helmet Spa, we will be working towards attending trade shows that focus on professional sport gear and the decision makers in that industry ·        
  • 4) Hockey is a huge market, and once again we will be approaching a legend in the Hockey arena. Wet, cold conditions are the most difficult to clean and dry the hockey helmets, gloves and shin guards. Helmet Spa has been designed to have attachment for the cleaning and drying of this gear         
  • 5) Equestrian and horse riding ·  Our partners will no doubt know someone in this field.  This is a problem within the horse riding communities. When doing this search on line "how do I clean my helmet “over 5 mil replies 1/3 are from horse riders.
  • Trade shows and mobile units will introduce our product to this market        
  • 6) International ,is huge and we have had several inquiries from potential overseas partners  
  • Traffic in overseas countries makes motorcycling an attractive means of transportation   and helmet laws are in place in most of these areas    


Financial Management


  • As discussed earlier in this business plan, the investment needed is $200 000 paid in two payments over 4 months
  • No overhead is anticipated for that 4 month period, other than costs preparing the machine for manufacture and sale.        
  • The first units we will sell direct to motorcycle shops, motorcycle rental companies
  • (Eagle Rider has 150 outlets in the USA)  sporting goods stores  and sports teams at a reduced retail price to get the product out there and to perfect our sales and marketing techniques         
  • The units that are manufactured in the first order of 200 - Two helmet version        
  • The company will sell this first order directly at an introductory retail of $1000, the sales will produce sufficient income and replace most the original $200 000 investment.        
  • With this replenishment of cash, more units will be ordered and sold via distribution          (This will be in place at that time).  Without having to pay for the original set up costs associated with the 1st 200 manufactured (assembly line, and small tooling cost) ·        
  • Our mark up from manufactured cost for two helmet version ($500) to distribution is ($800) 60% distribution wholesale ($1080) 35% dealer retail ($1458) 35% ·       
  • A reduction in manufacturing costs 2nd time around, our profitability will increase substantially (75%). Using the assumption that we would have our first overseas order (40 ft standard container holds 150 units = $52800 gross profit) in place in the 2nd half of next year, the machines will have paid back the initial investment two fold ·        
  • The sales of consumable products (cleaning solution etc) should now equal or overtake the income that the sale of machines is generating. ·        
  • If the original investor would like to sell back 10% for $125000 after the first year, the board can asses our finances and agree to the purchase. This could be done again in the 2nd year sell back 10% at the same rate = $125000 - all original investment cash will have been returned with a 25 % profit each year and the investor will still retain 10% share in the company.
